SMC Media, the advertising arm of SMC Group, and MBC Media Solutions (MMS) have signed a non-binding Memorandum of Understanding (MoU) to merge SMC Media with MMS.
The companies said the step is intended to accelerate growth and expansion by unifying capabilities and expertise, ultimately establishing “the leading media and advertising entity in Saudi Arabia”.
According to their joint statement, once completed, the merger would mark a milestone for both parties, reflecting their commitment to driving innovation and delivering value to clients and the wider industry.
The statement also said that by combining expertise with one of the region’s largest advertising inventories, advertisers will benefit from more integrated and efficient solutions, as well as broader marketing opportunities across both digital and traditional platforms. The aim, according to the companies, is to help advertisers reach target audiences more effectively with measurable outcomes.
The companies added that the new entity is expected to enhance competitiveness and transparency in the advertising market while accelerating the adoption of advertising technologies, data solutions and digital analytics. These developments are intended to increase the efficiency of advertising investments and contribute to the growth of brands, businesses, the media sector and the creative economy, in line with the objectives of Saudi Arabia’s Vision 2030.
According to the statement, the merger has four key objectives: accelerating growth and regional expansion by delivering integrated marketing and advertising solutions that support advertisers’ goals locally and regionally; uniting technical and commercial strengths by combining advertising inventory and expertise to create a globally competitive entity headquartered in Saudi Arabia; building a national champion that aligns with Vision 2030 objectives for media sector growth and the creative economy; and delivering high-impact solutions through investment in AI and digital transformation to provide data-driven, measurable and efficient marketing and advertising solutions.
The SMC media and MMS stated that evaluation and due diligence processes are expected to be completed in the coming months, with the merger anticipated to be finalised following regulatory approvals.
